(NASDAQ:VLCN), ('Volcon' or the 'Company'), the first all-electric, off-road powersports company, today announced that it has commenced an underwritten public offering of shares of its securities. The Company intends to use the net proceeds from the Offering for general corporate purposes, including working capital, operating expenses and capital expenditures. The Offering is subject to market conditions, and there can be no assurance as to if or when the Offering may be completed, or as to the actual size or terms of the Offering.

In addition, the Company expects to grant Aegis Capital Corp. a 45-day option to purchase additional shares of Common Stock of up to 15% of the number of shares of Common Stock (or pre-funded warrants, as applicable) sold in the Offering solely to cover over-allotments, if any.
